As an experienced and dynamic Legal Counsel, you provide legal guidance on a variety of aspects related to our business. You work closely with senior management, external stakeholders, and team members in the finance, M&A, compliance and business operations teams across various geographies, directly reporting to the Chief Development Officer.
You will have a broad scope of responsibilities, including supporting Sanoptis on a wide variety of projects of strategic importance, and plenty of opportunities to take ownership.

Your mission - Operational Legal Advice :
- Provide day-to-day legal advice to the management team of clinics on a wide range of issues, including labor law, medical law, patient rights, and regulatory questions related to the laws governing statutory and private health insurance physicians (" Zulassungsrecht ").
- Work closely with the M&A team and other departments, including finance, HR, and operations, to provide integrated legal support during acquisitions.
- Manage and consult with international and local law firms on various legal matters, ensuring superior service delivery on a timely and cost-effective basis.
- M&A:
- Support the M&A team and manage the legal aspects of M&A transactions, including due diligence, contract discussions, and post-merger integration.
- Draft, review, and negotiate acquisition agreements together with members of the M&A team.
- Liaise with external legal advisors to ensure compliance with relevant legal and regulatory requirements.
- Corporate Housekeeping , Support on Risk Management and Compliance:
- Advice on and steer corporate law activities ensuring compliance with corporate governance requirements and corporate housekeeping for group companies ( including drafting agendas, resolutions and minutes ).
- Support the Compliance team and risk management activities of the group.

Your profile - Master's degree in law (additional education abroad and/ or an advanced master's in Corporate/Business Law is a plus) or fully qualified lawyer with a degree in law and/ or admission to the bar in Germany, Switzerland , or another relevant jurisdiction .
- 3 to 5 years of professional experience as a legal counsel , preferably within a corporate environment or law firm.
- Experience in handling M&A transactions from start to finish, including due diligence , contract negotiation , and post-transaction integration .
- Prior experience in the healthcare sector or with healthcare-related legal issues is a plus.
- Ability to analyze legal risks and provide strategic advice to mitigate them effectively .
- Ability to explain complex concepts clearly and succinctly to those without a legal background .
- Proactive and pragmatic approach to identifying issues and developing solutions in a fast- paced environment with a growth-focused , private equity-backed business model .
- Entrepreneurial mindset , aligning legal strategies with business objectives to contribute to Sanoptis ' success .
- Fluency in German and English, both written and spoken, is essential.
- The position is based in Zug (Switzerland) or Berlin (Germany) , with frequent travel required to various clinics and practices within the Sanoptis network.
